Terms of Service

These terms govern your use of Popi's digital out-of-home (DOOH) advertising platform. By creating an advertiser account, uploading creatives, or running campaigns on Popi screens, you agree to these terms. If you don't agree, please don't use the service.

1. What Popi does

Popi Technologies Pvt. Ltd. operates a network of digital screens in high-footfall indoor venues across India (malls, clinics, gyms, residential complexes, co-working spaces, and similar). The platform lets advertisers discover these screens, upload creatives, schedule campaigns, pay for them, and receive verified-play reports based on on-device measurement.

2. Account terms and eligibility

  • You must be at least 18 years old and capable of entering into a contract under Indian law.
  • If you create an account on behalf of a business, you confirm you are authorised to bind that business to these terms.
  • Account information you provide (name, email, phone, business name, GSTIN) must be accurate and kept up to date.
  • You are responsible for the security of your account credentials. Notify us promptly if you suspect unauthorised access.
  • One account per advertising entity. Shared accounts across unrelated businesses are not permitted.

3. Payment terms

  • All amounts on the platform are quoted and charged in Indian Rupees (INR / ₹).
  • Payments are processed by Razorpay. Accepted instruments include credit card, debit card, UPI, and net-banking, subject to availability.
  • Internally, all monetary values are stored as integer paise to avoid floating-point drift. Display values are formatted to two decimals.
  • Goods and Services Tax (GST) is charged on top of the campaign value at the applicable rate. GSTIN-compliant invoices are issued for every transaction.
  • Campaigns go live only after payment is confirmed by Razorpay's webhook. We do not start playback against unpaid invoices.
  • Refund policy (cancellations, technical failures, partial delivery): see the separate Refund Policy page when published. Currently being drafted alongside this document.

4. Acceptable use and content policy

Creatives you upload must comply with Indian advertising law (ASCI guidelines, the Cable Television Networks Rules where applicable, the Drugs and Magic Remedies Act, and venue-specific restrictions).

The following content categories are blocked by default and will be rejected at moderation regardless of payment status:

  • Religious content
  • Political content (including party advertising and election material)
  • Adult / explicit content
  • Content the venue's contract excludes (e.g. competing brand restrictions in certain spaces)
  • Content that violates Indian law (defamatory, infringing, discriminatory, fraudulent)

Every creative is reviewed by our team before going live. We may reject a creative without giving extensive reasons. We are not a publisher and do not endorse advertiser claims, but we reserve the right to refuse content that puts our venue partners at risk.

5. Intellectual property

  • Your creatives: you retain ownership. You grant Popi a non-exclusive licence to display, transmit, and store your creatives for the duration of the campaign and as required for record-keeping after.
  • You warrant you have the rights to all content you upload, including any third-party assets (stock footage, music, talent likeness).
  • The Popi platform: software, dashboards, reports, brand marks, and screen designs are owned by Popi Technologies Pvt. Ltd. You may not reverse-engineer, copy, or redistribute the platform.
  • Verified-play reports: aggregate measurement output we generate for your campaign is yours to use commercially.

6. Service availability

  • We aim for high uptime but do not currently offer a contractual SLA. The platform is provided “as is” while we are pre-launch.
  • Individual screens may be temporarily offline for maintenance, venue events, power outages, or hardware failure. Where a screen does not deliver your scheduled plays, we credit or refund the affected portion of the campaign — see the Refund Policy.
  • The campaign-management web app is browser-based and requires a recent version of Chrome, Edge, Firefox, or Safari.

7. Limitation of liability

To the maximum extent permitted by Indian law:

  • Popi's aggregate liability to you for any claim arising out of or related to the service is limited to the amount you paid Popi for the specific campaign giving rise to the claim, in the 12 months prior.
  • We are not liable for indirect, incidental, consequential, special, or punitive damages — including loss of profit, loss of goodwill, or loss of business opportunity — even if we have been advised of the possibility.
  • Nothing in this clause limits liability for matters that cannot be limited under Indian law (e.g. gross negligence, wilful misconduct).

8. Termination

  • You may close your account at any time from the advertiser dashboard. Active campaigns will run to completion unless you cancel them explicitly.
  • We may suspend or terminate your account for breach of these terms, suspected fraud, or repeated content-policy violations. Where reasonable, we will give notice and an opportunity to remedy.
  • On termination, your right to use the platform ends, but obligations that by nature survive (payment for delivered campaigns, IP licences, data-retention obligations) continue.

9. Governing law and dispute resolution

  • These terms are governed by the laws of India.
  • Any dispute arising out of or related to the service or these terms is subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra.
  • Before initiating litigation, both parties agree to attempt good-faith resolution by written notice and a 30-day discussion period.

10. Changes to these terms

We will update these terms as the product changes and as our legal counsel completes review. Material changes will be notified to active advertisers by email. Continued use of the platform after a change indicates acceptance.
